Abhay Vohra was a partner at Burgeon Law since the last 4 years. Prior to that and commencing independent practice, he had worked with some leaguing corporate law firms namely, L&L Partners and JSA for over 5 years. He has also assisted, Hon’ble Jst. Sanjeev Narula (erstwhile Standing Counsel, Union of India, New Delhi High Court) on commercial litigation matters.
Vohra has over 12 years of experience in advising clients, from start-ups to established private and public organizations, on various nuances of its business & operational model structuring in view of regulatory framework, legal structuring of commercial arrangements, general corporate commercial advisory and contracting such as revenue tie-in agreements, manufacturing & procurement agreements, EPC and O&M agreements, technology and Technology/IPR licensing agreements etc.
Vohra also advises clients on collaborations and JVs (onshore & offshore), acquisitions by way of business transfer and stake sale, and financial & strategic investments. Vohra is also actively involved in advising clients in matters pertaining to inter-se promoter/investors/shareholders disputes, minority stakeholder’s oppression, misappropriation of funds etc., involving interpretation & enforcement of contracts, advising on company/contract law matters and dispute/-re-litigation strategy, with a view to successfully achieving amiable settlements.
Vohra heads the firm’s business structuring, strategic investments, and pre-litigation dispute resolution. With a diverse portfolio, the Corporate and Commercial Practice has dealt with clients across a wide spectrum of sectors, such as fin-tech, media & entertainment, MedTech, EdTech, B2B/B2C e-commerce, electric vehicles, automotive & mobility, infrastructure, IT, food aggregation & cloud kitchen operations etc.
Among the significant work that he has advised on, Vohra has advised Rush Media Pvt. Ltd., digital entertainment company, on its entity & business restructuring and strategic investment by Nodwin Gaming Pvt. Ltd as a part of total funding round of INR 21.5Cr with re-participation from Info Edge and Mistry Ventures; advised Napino Auto & Electronics Ltd., a leading supplier of automotive electronic products, in its cross border strategic investment in Enedym Inc., a Canadian technology company having novel switched reluctance motors (SRMs), electric propulsion powertrains technology, and simultaneous Tech licensing of the same for deployment in Indian 2-3 wheeler EV market ; and advised Hogwarte E-learning (Tru-fan) and Finzoom IND Investment Advisors Pvt Ltd. (IND Money) on its business structuring, regulatory compliances and contractual framework with stakeholders given the challenges and restrictions posed by antediluvian gaming laws and complex financial sectors regulations in India.
